You must notify us immediately of any unauthorized access or suspected breach. QI Standard is not liable for losses resulting from account compromise where you fail to safeguard credentials.

Unless expressly licensed, you may not copy, modify, distribute, publish, or create derivative works from our content.

5. User Content If you submit content to our website (e.g., inquiries, feedback, project details), you grant QI Standard a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, distribute, and display the content for any purpose related to our services. You represent and warrant that you have the rights necessary to grant this license and that your content does not infringe on third-party rights.

Payments and Fees Paid services or consulting engagements will be governed by separate statements of work, purchase orders, or contracts that specify fees, payment terms, deliverables, and timelines. Unless otherwise agreed, fees are non-refundable. Late payments may incur interest or collection costs. We reserve the right to suspend services for non-payment.

7. Third-Party Materials and Links Our website may include links to third-party websites or resources. QI Standard does not endorse and is not responsible for third-party content, policies, or practices. Your interactions with third parties are solely between you and the third party, and you should review their terms and privacy policies.

8. Disclaimers Our website, materials, and services are provided "as is" and "as available" without warranties of any kind, whether express or implied. To the maximum extent permitted by law, QI Standard disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. Limitation of Liability To the fullest extent permitted by law, QI Standard and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to these Terms or your use of our services, even if we have been advised of the possibility of such damages. Our aggregate liability for direct damages arising from these Terms will be limited to the greater of (a) the fees you paid to QI Standard in the 12 months preceding the claim, or (b) one thousand U.S. dollars (USD $1,000).

Indemnification You agree to indemnify, defend, and hold harmless QI Standard and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, violation of applicable law, or infringement of third-party rights.

11. Confidentiality "Confidential Information" means non-public information disclosed in oral, written, or electronic form that is designated as confidential or that reasonably should be understood to be confidential. Each party agrees to protect the other party's Confidential Information with at least the same degree of care used to protect its own confidential information and not to use or disclose it except as permitted by these Terms.

12. Export Compliance You agree to comply with all applicable export and import control laws and regulations. You will not access or use our website or services in violation of those laws.

13. Termination We may suspend or terminate your access to the website or services at any time for violation of these Terms or for any other reason with or without notice. Upon termination, any licenses granted to you will immediately cease and you must discontinue all use of our content and services.

14. Governing Law and Dispute Resolution These Terms and any disputes related to them will be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of state and federal courts located in San Francisco County, California.
